Terms of Service

UtilityGuard is an independent bill-audit service. We surface rate-class errors, surcharge mistakes, duplicate charges, and overcharges for you to dispute with your utility. We are not a licensed energy broker, marketer, or aggregator under NY PSL §66-t or any state equivalent. We do not negotiate, switch, or place customers on alternative supply contracts.

1. Acceptance of Terms

By using UtilityGuard, you agree to these Terms of Service. If you do not agree, do not use the service. These terms govern your access to and use of UtilityGuard's utility-bill auditing platform.

2. Service Description

UtilityGuard is an independent bill-audit service. We analyze utility bills you upload, compare line items against the tariff your utility has filed with the state regulator, and generate reports and dispute letters that you submit to your utility. We do not negotiate with the utility on your behalf, switch or place you on alternative supply contracts, or act as an energy broker, marketer, or aggregator under NY PSL §66-t or any state equivalent.

Audit results are provided for informational purposes. You are responsible for reviewing results before acting on them and for submitting any dispute letters directly to your utility.

We do not guarantee specific dollar savings. The only refund mechanism is the service credit described in Section 7.

3. Account & Payment

Access to UtilityGuard requires a paid subscription. The current pricing is a flat $99 per month, with no setup fee. Subscriptions are billed monthly via Stripe and renew automatically until cancelled. You may cancel at any time through your account settings or the Stripe customer portal; cancellation takes effect at the end of the current billing period. Except as expressly provided in Section 7 (Service Credit), fees are non-refundable, including for partial billing periods and unused features.

4. Your Responsibilities

  • You must have the right to upload the utility bills you submit.
  • You are responsible for the accuracy of information you provide, including rate class, account number, and location addresses.
  • You are the party that files any dispute with your utility. UtilityGuard generates the dispute packet; submission, negotiation, and any resulting credit on your account happen between you and the utility.
  • You must not use UtilityGuard for any unlawful purpose or attempt to reverse-engineer the service.

5. Data & Confidentiality

You retain ownership of all utility bill data you upload. By using the service, you grant UtilityGuard a limited license to process your data for the purpose of providing the service. We handle your data as described in our Privacy Policy.

6. Limitation of Liability

UtilityGuard is provided "as is" and "as available." We are not liable for any indirect, incidental, consequential, or special damages arising from your use of the service, including lost profits, lost savings, or regulatory penalties imposed by your utility, public utilities commission, or other authority. Our total aggregate liability is limited to fees paid in the three (3) months preceding the event giving rise to the claim.

7. Service Credit Guarantee

If, during the first three (3) months of active use, UtilityGuard's audit does not surface any actionable findings across the bills you upload, we will issue a service credit equal to up to three (3) months of subscription fees. The credit is payable as product credit applied against future invoices only; it is not redeemable for cash or any other form of consideration, and its total value is capped at three (3) months of fees regardless of the number of bills audited.

The credit is not conditioned on any specific dollar-savings threshold. You do not have to demonstrate a certain level of recovery to claim it; conversely, finding potential savings that you choose not to dispute does not entitle you to the credit.

The guarantee requires that you upload bills for at least one active location across the three-month period. To claim the credit, email support@utilityguard.io within thirty (30) days of the three-month mark with your account email and a reference to the bills audited.

8. Changes to Terms

We may update these terms with 30 days' notice by email. Continued use after the effective date constitutes acceptance.

These terms should be reviewed by a qualified attorney before launch. Particular attention is needed on Sections 2 (non-broker positioning under NY PSL §66-t), 6 (limitation-of-liability cap), and 7 (service-credit mechanics and cap).
